DripDrop Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and 1A 2A, LLC, a Wyoming limited liability company ("Company," "we," "us," "our"), which operates DripDrop at dripdropai.com (the "Service"). By creating an account, starting a trial, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. These Terms contain a binding arbitration agreement and class action waiver (Section "Dispute Resolution") that affect your legal rights.
1. Eligibility and Accounts
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. Sign-in uses a passwordless "magic link" sent to your email through our authentication provider, Supabase. You are responsible for keeping your email account secure and for all activity under your account. Notify us at support@dripdropai.com of any unauthorized use.
2. The Service
DripDrop is software-as-a-service that helps you automate an eBay dropshipping business: it sources products from CJ Dropshipping, creates and publishes listings on your own eBay seller account (connected via eBay OAuth), and helps manage order fulfillment through CJ Dropshipping. You remain the seller of record. You keep your sales revenue; eBay pays you directly. DripDrop is a tool - we are not a party to your sales, are not the seller, and are not your employer, partner or agent.
DripDrop is not affiliated with, endorsed by, or sponsored by eBay Inc. or CJ Dropshipping. All trademarks belong to their owners.
3. Your Responsibilities as Seller
You are solely responsible for: (a) compliance with eBay's User Agreement and policies, including eBay's dropshipping policy (which requires that you be responsible for delivery and customer satisfaction and prohibits listing items and then purchasing them from another retailer/marketplace that ships directly to your buyer); (b) consumer-protection laws, including accurate descriptions, shipping-time representations (e.g., FTC Mail, Internet, or Telephone Order Merchandise Rule), returns and warranties; (c) sales tax, VAT, and income taxes; (d) product safety, recalls, and labeling (e.g., CPSC requirements); (e) intellectual property - you must not list counterfeit or infringing products or use images/text you lack rights to; (f) customer service, returns and disputes with buyers; and (g) your account health with eBay and CJ. We may pause automation if we believe a listing or activity violates law or platform rules.
4. AI-Generated Listings and Support
DripDrop uses AI to draft listing titles, descriptions, and other content, and to assist with support. You must review and approve AI-generated listings before and while they are live for accuracy, compliance and IP issues. You are responsible for all listings published to your account. AI support responses are not guarantees or professional advice.
5. No Earnings Guarantee
We make no promise or representation that you will earn any money. See our Disclaimers.
6. Connected Accounts
By connecting eBay, you authorize us to access your eBay account via OAuth to create/manage listings and read order data on your behalf. You can revoke access anytime in DripDrop or eBay; revoking will stop automation. You are responsible for fees charged by eBay, CJ Dropshipping, and other third parties (including product and shipping costs).
Subscriptions and Billing Availability
Beta pricing (through December 31, 2026). The subscription is $49 per month plus a performance fee equal to 15% of your Gross Profit (defined below), plus applicable taxes.
Gross Profit. "Gross Profit" means, per order fulfilled through DripDrop: the buyer's payment (item price plus shipping, as reported by eBay) minus CJ product cost, CJ shipping and fulfillment fees actually charged, eBay final value and per-order fees, payment processing fees, promoted-listing/ad fees attributable to the order, sales tax collected and remitted, refunds, returns, chargebacks and return-shipping costs. Floored at $0 per order. Calculated monthly; no fee on orders cancelled or refunded within the period; a later refund is credited against that period's fee. Sellers get an itemized monthly statement in the dashboard and 30 days to dispute it.
Gross Profit is calculated per order and never below $0. Losses on one order are not carried over or netted against other orders or billing periods.
Performance fee billing. The 15% of Gross Profit fee is not charged yet; before it starts, we will give 30 days' email notice and itemized monthly statements, and it will never be charged without that notice. You may dispute a calculation within 30 days by emailing support@dripdropai.com.
Trial and subscription billing. Stripe collects and processes your card at the start of the 14-day trial. No subscription charge is made until the trial ends, then the subscription renews automatically at $49/month until canceled. Cancel anytime before the trial ends through “Manage billing” to avoid the subscription charge. The trial is available once per account. We'll email you a reminder before your trial ends. The 15% of Gross Profit fee is not charged yet; before it starts, we will give 30 days' email notice and itemized monthly statements, and it will never be charged without that notice.
Production pricing (from January 1, 2027). Production pricing is expected to be approximately 30% higher than beta pricing; final prices are not yet set. We will notify existing subscribers by email at least 30 days before any price increase applies to them, and you may cancel before it takes effect.
Founding members. Founding Member pricing applies to any account that starts a paid subscription on or before December 31, 2026 and keeps it continuously active. Founding pricing lasts 12 months from January 1, 2027. If the subscription is canceled or lapses, founding pricing ends.
Fees after cancellation. Performance fees for orders placed before cancellation remain payable.
Easy online cancellation. Use “Manage billing” in account settings to open the Stripe Billing Portal and cancel your subscription. Cancel before the 14-day trial ends to avoid the subscription charge. You may also contact support@dripdropai.com.
Price changes. We will give you at least 30 days' advance notice by email of any price change to a renewing subscription, and the change will apply only at your next renewal after the notice period. You may cancel before the change takes effect.
Taxes. Prices exclude applicable taxes unless stated; you are responsible for taxes we are required to collect.
Failed payments. If a payment fails, we may retry the charge and suspend paid features until payment succeeds.
See our Refund Policy for refunds.

Third-Party Services and Content
The Service relies on and links to third-party services and content (including the providers listed in our Privacy Policy). Parts of the Service use artificial intelligence. AI output may be inaccurate, incomplete, outdated or inappropriate, and may not be unique. You are responsible for reviewing AI output before relying on or using it.

If you opt in to our mailing list, we record your consent and its timestamp. Every marketing email will identify us, use accurate header and subject lines, and include a clear unsubscribe link. We honor unsubscribe requests within 10 business days. Transactional/account emails (e.g., sign-in links, receipts, trial reminders) may still be sent.
Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you violate these Terms or if required by law, and may discontinue the Service with reasonable notice; if we discontinue a paid Service without cause, we will refund prepaid unused fees on a pro-rata basis. Sections that by their nature should survive termination will survive.
DISCLAIMER OF WARRANTIES
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA OR GOODWILL; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where prohibited by law.
Indemnification
You will defend, indemnify and hold harmless the Company and its members, managers, employees and agents from any claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms, law, or third-party rights.
Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules, and the Federal Arbitration Act governs the arbitration agreement. Subject to arbitration below, courts located in Wyoming have exclusive jurisdiction.
Dispute Resolution; Binding Arbitration; Class Action Waiver
Informal resolution. Before filing a claim, you agree to email support@dripdropai.com with a description of the dispute and try to resolve it informally for 30 days.
Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by final, binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for misuse of intellectual property. Fees will be allocated per the administrator's consumer rules.
CLASS ACTION WAIVER. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable as to a claim, that claim will proceed in court, not arbitration.
Opt-out. You may opt out of this arbitration agreement by emailing support@dripdropai.com within 30 days after first accepting these Terms, with your name and a statement that you opt out.
Changes to These Terms
We may update these Terms. We will post the updated Terms with a new "Last updated" date and, for material changes, notify you by email or in the Service in advance. Continued use after the effective date means acceptance.
Miscellaneous
These Terms (with the Privacy Policy, Refund Policy, Cookie Policy and Disclaimer) are the entire agreement. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We are not liable for delays caused by events beyond our reasonable control.
